Short answer, cut and paste from my home page:

Everything that ICANN does, should
contribute to the following major goal:
Transition of control from USG to a stable, trustworthy ICANN
organization meeting the 4 White Paper requirements:
- Stability (including coordination of addresses and numbers for
a global/interplanetarian open Internet for everyone)
- Competition (as little central ICANN work as possible, the
rest should be under normal competition rules. Also: The addresses and
numbers should give equal oportunities to comparable entities in a
global scope)
- Private, bottom-up coordination (Board guidance from SOs and
At-Large)
- Representation (Diversity at all levels)
The ICANN Board / owners should develop a concrete plan with a timescale
for the achievment of this goal, including a study of the Legal and
Regulatory aspects of this transition.
After the transition, ICANN has reached the true operational phase.

And why?
Because a lot of the mistrust and bad faith is grounded on the fact that
ICANN is still "owned" by the USG. I think it is good that ICANN is
owned by USG until the ICANN organization has developed to be a real
STABLE privat organization. If the USG had not followed up the
responibility, the whole Internet concept might have fallen apart. It is
up to us to demonstrate that we are able to build a STABLE ICANN.
