Good morning, Hans:

    It could well be that there are different perceptions of the word
quorum. However, in my experience, no vote may take place unless a quorum is
present to vote (usually, but not always, 50% plus 1 of eligible voters).
Once a quorum is present, any or all may vote "yea", "nay" or they may
"abstain". Abstentions do not reduce the quorum or invalidate the vote.

    In the instances to which you refer, it appears that the panel members
did not register an abstention, but failed to virtually "show up" for the
poll.

    The need for solid voting procedures, to be written into our by-laws, is
clearly evidenced by this thread.  Until we have such by-laws, we should
authorize and encourage our panel to kick each other's collective butt into
the decision making mode, and expect them to complete the tasks they have
undertaken, within the anticipated time line that they report to us.  Give
them the authority, and expect the work to be completed.
