  This is a good very general idea.

  I disagree here.  The first Job should be to get the bylaws, charter,
articles of incorporation and the Mission statement completed
in draft form, than ratified by the members.

  The Bylaws should never contain any language regarding how the
Web site is to be managed only that a Web site for this organization
exists, what that primary Web site is, and what is is used for.

  Again such "Rules" for Web site management should NOT be in the Bylaws.
Those rules should be in a separate document/contract and in contract
form.
