  I do mean all of the @large members, not just the directors.  Using a
referendum process or method, which is what we do, a vote can easily
be taken by all of the members via E-Mail voting or a web app.

  This method could also be used but would not necessarily be
representative
of the will of the @large members.  As such, it would have the potential
of
having those "Representatives" to be unduly influenced to vote against
the majority consensus or "Rough Consensus" of the members they are
supposed
to represent.  I would also add that using a more direct method as I am
suggesting, is not to be used for all issues or proposals but for By-Law
changes, which are very fundamental and encompassing, it would seem
appropriate and not difficult to implement at all.
