Yes. And since there is no quorum,  the rump-Panel cannot make decisions, 
except to disband and facilitate fresh elections.

Your sense of duty is admirable, but when your Chair lets you down like 
that, you are also quite right to give up.

In the face of failure and betrayal, the members now have to decide how 
they want to continue.
Do they still want a big Panel that wants to decide on *everything* and as 
a result can't accomplish anything?
Do they want website content supervision by a small group with a limited 
mandate?

They have already said they want regular Polls, now do they want an 
independent polling Commission also?
Do they want a membership committee?

We shall soon see.
